The terms under which 23audio plugins are licensed to you.

The short version
- When you buy a 23audio plugin, you're buying a licence to use it, for yourself, on up to three computers of your own.
- Every update to it is free.
- Everything you make with it is yours. No royalties, no credits needed, commercial work included.
- Please don't share your licence, post it online, or crack or copy the plugin.
- You can pass your licence on to someone else once, through us.
The rest of this page says the same thing in more detail. It's an agreement between you and M. Oglesby, trading as 23audio ("23audio", "we", "us"). By installing or using a 23audio plugin, you agree to it.
1. What this covers
This agreement covers 23audio plugins and apps, any updates we give you for them, and their presets, help and other files (together, "the software"). Your licence is for the product named on it.
2. Your licence
When you buy the software, we give you a personal, non-exclusive licence to install and use it, for as long as you keep to this agreement. In particular:
- Up to three computers. You can install it on up to three computers that you own or use, for example a studio machine, a laptop and a spare. It's meant for you to use; if several people need it, each should have their own licence.
- Businesses. If you buy for a business, the licence is for one named person in that business, on up to three computers.
- No time limit. A bought licence doesn't expire, and it works offline. The software checks it on your computer and never sends it to us.
- You're buying a licence, not the software itself. We keep ownership of the software and all rights in it.
3. What you make is yours
You own the audio you make with the software. You can use it for anything, including paid and commercial work, broadcast, audiobooks and client projects, with no royalties to pay and no need to credit us.
4. What you can't do
- Share, sell, rent, lend or post your licence or the software, except as allowed under "Passing your licence on" below.
- Get around, disable or remove the licence check or the demo limits, or help anyone else do so.
- Copy, modify, decompile, reverse-engineer or take apart the software, except where the law allows it despite this agreement.
- Take the presets, sounds or other content out of the software and sell or give them away on their own.
5. The demo
Without a licence, the software runs as a free demo, with every feature working but with the sound fading out briefly every so often. You can use the demo to try the software for as long as you like.
6. Beta licences
Beta licences are for testing only. They end on the date shown with them, or sooner if we withdraw them, and the software then goes back to its demo. The beta section of our Terms & Conditions also applies.
7. Passing your licence on
You can transfer your licence to someone else once. Email licensing@23audio.com from the address you bought with, and tell us the new owner's name and email. We'll cancel your licence and issue a new one to them. After that, you must stop using the software and remove your licence. The new owner can't transfer it again. Licences that were given free, such as review or beta licences, can't be transferred.
8. Updates
Every update to a plugin you've bought is free, for as long as we make updates for it. You'll never pay again for the plugin you own.
If we make a new plugin, even one that grows out of an existing one, it will have its own name and its own licence, and it will be sold separately. We may offer owners of the earlier plugin a discount on it.
We can't promise to keep updating a plugin for ever, for example as computers and music software change. But a plugin you've bought keeps working as it is, on the systems it supports.
9. Refunds and cancelled licences
Our Refund Policy explains when you can get your money back. If a purchase is refunded or charged back, or a licence is shared or posted publicly, we may cancel that licence, and a later update will stop it working.
10. Ending this agreement
You can end this agreement at any time by removing the software and your licence. If you seriously break this agreement, for example by sharing your licence or cracking the software, your licence ends and you must stop using the software.
11. Our responsibility to you
- We make the software with reasonable care and skill, and it should do what we describe on this website. If you're a consumer, you have legal rights if digital content is faulty or not as described, and nothing in this agreement affects them.
- Please keep backups of your projects and recordings. We're not responsible for loss you could have avoided by doing that, or by installing an update we provided.
- If you use the software in a business, we have no liability to you for loss of profit, loss of business, business interruption or loss of business opportunity.
- Nothing in this agreement limits our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, or for fraud.
- The rest of our responsibility to you is set out in our Terms & Conditions.
12. Other people's work inside the software
The software includes some components made by others, such as typefaces and code libraries, used under their own licences. Those licences apply to those parts and don't limit the rights this agreement gives you.
13. Changes and the law
We may update this agreement for future purchases and versions. The version that applies to you is the one in place when you bought, unless you accept a newer one. This agreement is governed by the law of England and Wales. If you're a consumer, you can bring a claim in the courts of England and Wales, or in Scotland or Northern Ireland if you live there.
